1. Acceptance of Agreement
By accessing the Services, you agree to, and are bound by, the terms and conditions of this Agreement. You represent that you have authority to enter into this Agreement on your own behalf and on behalf of any person or organization for which you act (an “Organization”).
2. Amendments
Nickel may modify this Agreement at any time in its sole discretion by updating this posting. We will take reasonable steps to notify you of any material changes to this Agreement. Your continued use of the Services after a modification signifies your agreement to the modification. If you have any questions about this Agreement, please contact us at: support@getnickel.com.
3. Overview of Nickel Services
3.1. Description of the Services
Nickel provides Services which enable United States‑based businesses (“Payors”) to transmit payments for commercial purposes to business recipients (“Recipients”) who may be entities or individuals (collectively, Payors and Recipients are “Users.”)
Payors may capture a Recipient invoice using their mobile device, upload an invoice electronically, import an invoice from various accounting software, or enter invoice details manually. Such information may be used to generate a bill which can then be synced with various accounting software. Nickel may also partner with Recipients to facilitate their receipt of funds and crediting of customer accounts. Recipients may generate and upload invoices through the Services to request payment from Payors; Recipients may request payment from Payors without uploading invoices; and Recipients may also request payment from Payors that have not registered for Services. Users may use the remote deposit capture service to deposit checks. For access to and use of the Services, Nickel may charge Users a fee (the “Fee”) at the time of payment submission or other transaction. Access to features and functions offered through the Services will depend, in certain instances, on where you are located.
3.2. Accepted Payment Methods
Nickel enables Payors to transmit payments to Recipients via automated clearing house (ACH), credit card, or debit card. Recipients may receive payments via paper check, electronic check, debit card, ACH transfer, wire transfer, Mastercard’s remote payment and presentment service network, real‑time payments, push‑to‑card payments, or via a virtual card number (“VCN”).
- Nickel supports Payor bank transfers from all U.S. financial institutions.
- Cards issued on the following payment networks may be used as payment methods via the Services: Visa, Mastercard, American Express, Discover, STAR, PULSE, and Accel.
3.3. Fund Ownership
Payments to Recipients (other than Fees) do not pass into Nickel’s legal ownership at any time from payment initiation to successful delivery, including any subsequent refunds. Nickel uses master bank accounts at the Bank that are held in the Bank’s name and owned by the Bank. The account titles also show that these accounts are for the benefit of customers of Nickel. You grant Nickel the right to instruct the Bank regarding the use of funds in the accounts. The Bank transfers all funds for the benefit of Nickel’s customers upon Nickel’s instructions.
3.4. An Independent Third‑Party
Nickel is an independent, third‑party service that is not formally affiliated with your Recipients or Payors. Your use of the Services does not constitute a tri‑party agreement between you, Nickel, and your Recipients or Payors. Nickel is not a bank, money transmitter or money services business, but instead provides the Services as outlined in this Agreement. Accordingly, neither Nickel nor the Bank has responsibility or liability for any consequences resulting from your interactions or contracts with Recipients or Payors, including payment terms, the proper and timely delivery of goods or services, and any associated disputes. Your use of Nickel Services does not alter or affect any Recipient payment terms (including deadlines, payment plans, late fees, and refunds). Neither Nickel nor the Bank endorses or recommends any products, services or statements presented by Recipients.
3.5. Agent of Recipient; Receipt of Funds.
When you receive payments as a Recipient, you appoint Nickel to act as your agent in connection with the receipt of funds from your Payor. Nickel's receipt of funds from your Payor will be deemed to be receipt of funds by you as Recipient, and will satisfy any payment obligations of your Payor up to the amount of the funds received. Other than acting as your agent for the limited purpose of receiving funds as aforesaid, Nickel is not your agent for the purpose of carrying out the sale of goods or services that are paid for using the Services and does not have control of, or liability for, such goods or services.
4. Eligibility and Setting Up Your Account
4.1. Eligibility Requirements
To use the Services, you must: (i) be an individual of at least 18 years of age and able to form legally binding contracts under applicable law; (ii) have a valid and active email address; (iii) use the Services on behalf of a United States‑domiciled business organization; and (iv) have a valid deposit account at a Nickel‑supported bank or a payment card issued on a Nickel‑supported network as outlined in Section 3.2 above. Other restrictions may apply.
You represent and warrant that you use frequently updated, commercially standard virus protection software to ensure that the system you use to access our website is virus‑free.
4.2. Creating an Account
To access the Services as a User, you must create an account (“Account”). When you set up your Account, you will be required to create log‑in credentials by providing certain types of personal information including your name, a valid email address, information about your business, and a strong password (collectively, your “Registration Information”). In addition, you may be able to choose the Nickel Plus premium subscription plan (the “Subscription Plan”).
You agree to provide true, accurate, and complete Registration Information and to notify us promptly if any of it changes. You agree to take reasonable precautions to safeguard your password and other authentication details and keep them confidential. You are responsible for all activity that occurs in association with your Account. Nickel is not liable for any loss or damages caused by your failure to maintain the confidentiality of your Account credentials. The Subscription Plan renews automatically at the end of each billing cycle, unless you request to cancel in accordance with Section 22.
4.3. Multiple Users
You may invite additional persons authorized to act and transact on behalf of the Organization (by formation documents, applicable law or other valid authorization) (each, an “Authorized Delegate”). Authorized Delegates are granted the right to access and use the Services on your behalf. You may impose controls or limits on an Authorized Delegate’s access to the Services, including setting maximum transaction amounts or requiring User approval for certain transactions.
You are responsible for all actions and omissions of your Authorized Delegates. Any act or omission by any Authorized Delegate that would be a breach of this Agreement if done by you will be deemed a breach by you. You will manage your roster of Authorized Delegates and promptly deactivate any Authorized Delegate you wish to remove. You will ensure the security and confidentiality of your Account and use commercially reasonable efforts to prevent unauthorized access or use.
4.4. Accountants
Certified public accountants, bookkeepers or others (“Accountants”) may be able to utilize the Services under the Subscription Plan on behalf of their business clients (“Clients”), subject to the terms of the Subscription Plan. Any Accountant who enrolls represents, warrants and covenants that it has express authority from each Client to transact through the Services using any linked payment methods (including Client payment methods) and will provide written documentation of such authority upon Nickel’s request. Accountants remain fully responsible for any and all activities associated with Client payment methods, including payment of Fees and Subscription Fees, chargeback, clawback or ACH return associated with a linked payment method.
4.5. Privacy; Identity Authentication
Personally identifiable information (“Personal Information”) provided through the Services is governed by our Privacy Policy located at https://getnickel.com/privacy-policy. By using the Services, you agree to, and are bound by, the terms of Nickel’s Privacy Policy, which is incorporated by reference. You authorize Nickel, directly or through third parties, to make any inquiries we consider necessary to verify your or your business’ identity. This may include asking you for further information; requiring you to take steps to confirm ownership of your email address, financial instruments, or information associated with your business; and verifying your Personal Information and your business’ information against third‑party databases or other sources. If Nickel cannot verify your or your business’ identity, Nickel may deny or limit your use of the Services. You may be required to provide your taxpayer identification number to us for identity verification.
4.6. Linking a Payment Method
Once you have created an Account, you may link various payment methods, including depository accounts with financial institutions (each, a “Bank Account”) or credit/debit cards. We use Plaid Technologies, Inc. (“Plaid”) to gather your data from financial institutions. By using the Services, you grant Nickel and Plaid the right, power and authority to act on your behalf to access and transmit your personal and financial information from the relevant financial institution. You agree to your information being transferred, stored and processed by Plaid in accordance with the Plaid Privacy Policy (https://plaid.com/legal). Payment methods may be saved to your Account for easy reference and submission.
4.7. Payment Method Verification
Upon addition to your Account, your Bank Account may be verified to confirm its validity. A temporary, small authorization charge may appear on your bank statement. You authorize Nickel to credit your Bank Account with two (2) different and random micro‑deposits, which you will be required to enter once prompted through the Services. You also authorize Nickel to debit your Bank Account for the amounts of the two (2) micro‑deposits within ten (10) business days. As used in this Agreement, “business day” means any day that the Bank’s main office is open for business, excluding weekends and federal holidays.
4.8. Payment Method Representations
When you add a payment method to your Account, you agree that:
- You have the authority to disclose the payment method information and to bind the person or Organization.
- You authorize the initiation of debit or credit entries, as applicable, to the payment methods in accordance with instructions inputted through the Services, and, if necessary, the initiation of adjustments for any transactions debited or credited in error.
- You acknowledge that transactions initiated from your payment method must comply with laws in all applicable jurisdictions.
- Your authorization will remain in effect until not later than thirty (30) days after Nickel receives written notice from you of your desire to cancel.
- You will not use the Services for personal, family, or household purposes.
4.9. Your Existing Payment Method Terms
All payment method usage associated to payments submitted via the Services are subject to existing terms for your payment method, including any relevant credit or transactional limits, credit and interest terms, and any rewards programs. Where applicable, Nickel (and, to the extent applicable, the Bank) retains all rights and authority for the treatment of your payment methods via the Services, which may supersede your payment method program terms (for example, Nickel may impose a transactional limit lower than your card program). Except as otherwise noted in Section 6.8, payments may only be made to U.S. payment methods. We may impose limits on the size, frequency, and timing of payments, on a per‑transaction or cumulative basis, and change those limits at any time.
4.10. Restrictions on Payment Methods
To prevent fraud and comply with legal obligations, we may ask for additional information from you and from third parties. We may put your payment or your payment method on hold for review. If you do not cooperate with our review process, your payment may be delayed or declined. We reserve the right to limit or refuse your use of a particular payment method for any reason, in our sole discretion. We may decline to make payments or otherwise deny you use of the Services, and we may decline to explain why.
4.11. Recipient Setup
To use the Services, a Payor may enter payment information for Recipients or, alternatively, a Recipient may provide payment information. The Payor must provide correct and current payment information for each Recipient and, if applicable, invite the Recipient to set up an Account by sending an email invitation through the Services, or confirm existing Recipient details (if they have previously used the Services and Nickel has retained such details). Electronic payment to new Recipients may depend on the Recipient’s willingness to provide the Bank with banking details. If the Recipient does not provide this information, the transaction cannot be completed electronically and a paper check will be sent.
You are responsible for verifying the accuracy of Recipient information prior to scheduling payments. If you input a Recipient’s bank routing and account numbers on behalf of a Recipient, you represent and warrant that you have obtained from the Recipient the authorizations set forth in Section 4.6 above. Alternatively, a Payor may invite a Recipient to set up their own Account and provide their appropriate payment information, or a Recipient may choose to receive payment via a different method than that selected by the Payor.
5. Mobile Invoice Capture
The Services may enable you to upload an invoice using the camera on your mobile device or computer (the “Remote Capture Service”).
5.1. Image Quality
The image of an invoice transmitted using Remote Capture Service must be legible and clear. It must capture all pertinent information from the front of the item. You authorize us to convert items to Image Replacement Documents (“IRDs”) or transmit them as an image. If the electronic files and/or images transmitted to us with respect to any item do not comply with our requirements for content and/or format, we may, in our sole discretion: (i) further transmit the item and data in the form received; (ii) repair or attempt to repair the item or data and then further transmit it; (iii) process the item as photocopies in lieu of originals; or (iv) return the data and item to you unprocessed.
5.2. Remote Capture Minimum Hardware and Software Requirements
To use the Remote Capture Service, you must obtain and maintain, at your expense, compatible hardware and software including but not limited to an Internet connection and either a mobile phone or computer capable of capturing an electronic image.
6. Making Payments Through the Services
6.1. Payment Submission
Payments can be submitted for immediate or future processing via the Services. Payment submission requires at least the following to be specified: (i) a Recipient; (ii) a payment method; (iii) a payment amount; and (iv) your invoice number. Any or all of the above fields may be pre‑filled for you. As further outlined in our Privacy Policy, you agree to allow Nickel (and, to the extent applicable, the Bank) to share this information with your payment Recipient.
6.2. Payment Information
Nickel may require additional information or documentation from you at the time you submit a payment or at any other time. This may include, but is not limited to, information or documentation related to your business, the purpose or nature of a specific payment, or details regarding the designated Recipient or the payor.
6.3. Satisfactory Goods or Services
By submitting your payment for processing through the Services, you agree that the goods or services provided by your Recipient in exchange for the payment (minus Fees) have already been rendered to your satisfaction. You forfeit future claims regarding insufficient or unexpected quality or untimely delivery of the goods and services provided, including those Services rendered by Nickel in exchange for your payment of fees. If you use a Visa card to make a payment through the Services, you confirm that your Recipient does not otherwise accept Visa card payments for the good or service being paid for.
6.4. Processing Payments
Payments require sufficient time for your Recipient to receive your payment and credit your account. You may select the date (“Process Date”) on which Nickel (or its business partners) will debit your payment method. The Services will indicate the earliest possible Process Date for each payment. We will use commercially reasonable efforts to issue payment within one to two business days following the Process Date, depending on size and subject to payment review (Section 10).
You are solely responsible for scheduling payments and selecting a Process Date that allows sufficient time for delivery on or prior to the bill’s due date. Typically, it takes 2–3 full business days after the Process Date to post an electronic payment and 5 full business days to deliver a check payment within the United States by first‑class mail. Payments submitted for immediate processing will require successful authorization at time of submission; future‑dated payments will require authorization on the Process Date. If authorization fails, Nickel and the Bank will be unable to continue processing and we will notify you via the Services.
If you choose to pay a Recipient from Nickel’s existing network of Users (“Nickel’s Business Network”), you acknowledge that you are solely responsible for selecting and paying the correct Recipient.
6.5. Scheduled Payments
Payments may be submitted with a future Process Date (“Scheduled Payments”), but must be assigned to a valid payment method at submission and remain valid through the Process Date. Prior to the Process Date, a Scheduled Payment may be cancelled or edited via the Services. Editing a Scheduled Payment is treated as deletion and re‑creation and may result in recalculation of associated fees and renewed payment review.
6.6. Faster Payments
Nickel may make available to approved Payors and/or Recipients a service that enables certain eligible payments to be delivered more quickly via Same‑Day ACH, real‑time payments, push‑to‑card payments, and expedited mailing of checks (“Faster Payments”). Faster Payments may incur an additional fee shown at the time of request. Real‑time payments are processed immediately once initiated and may not be canceled, reversed, refunded or edited.
6.7. Recipient‑Paid Fees
In some cases, Recipients may choose to absorb Fees that may otherwise be charged to Payors. If you as a Recipient choose to pay Payor Fees, Nickel will charge the relevant Payor Fees to your linked payment method at the time Nickel delivers the Payor payment amount to you (processed as a separate transaction).
6.8. International Payments
If you are eligible, you may make payments to Recipients located in certain eligible foreign countries (“International Payments”). Certain International Payments services are provided by Airwallex US, LLC and its affiliates (the “International Payments Providers”), not Nickel, and are subject to a separate agreement between you and them: https://www.airwallex.com/us/terms/acct_dBmDqPs3MAyyrQMMGIac4Q/nickel-scale.
Nickel and/or the International Payments Providers may change eligible countries and currencies at any time. Exchange rates fluctuate and may include a margin. USD‑to‑USD International Payments are subject to a fixed fee. For some International Payments you may not be able to schedule a future Process Date. Estimated delivery dates may vary.
International Payments may be subject to additional fees (e.g., processing, landing, intermediary fees) and governed by payment network rules, OFAC regulations, and laws of jurisdictions outside the U.S. The service cannot be used, directly or indirectly, to facilitate payments to OFAC‑sanctioned countries or to SDNs.
You may be required to provide additional information and documents. Failure to provide requested information may result in denial of service. International Payments may be declined for compliance reasons. Payments made using the International Payment Service are non‑refundable and non‑reversible. If you inadvertently pay the wrong Recipient, Nickel may attempt to assist in reclaiming the funds but cannot guarantee success.
6.9. Communications Regarding Nickel’s Business Network and Virtual Card Payments
When you use the Services, you authorize Nickel to contact your Recipients to determine their ability to accept Faster Payments and virtual card payments and/or to enroll such Recipients in Nickel’s Business Network. Your Recipients may already be enrolled; Nickel will make payments in accordance with their preferences regardless of the payment method you choose. A Recipient that joins Nickel’s Business Network agrees that all information provided is correct and will be used to facilitate payments until updated in writing.
7. Payment Authorization
7.1. General Payment Authorization
By providing us with the names and account information of Recipients to whom you wish to direct payments, you authorize us and the Bank to follow the payment instructions that are received from you. The Bank, at Nickel’s instruction, may submit payments to the best known Recipient address and may alter payment data or formats to match Recipient requirements. Nickel reserves the right to select the payment method in its sole discretion, including sending payments via a VCN. When Nickel or the Bank receives a payment instruction, you authorize each to debit your payment method and remit funds on your behalf. You also authorize credits for returns or payments remitted to you on behalf of another authorized user of the Services.
7.2. ACH Authorization
Where you choose to pay a Recipient via ACH, you authorize Nickel or the Bank to debit your payment method and remit funds through the ACH. You give Nickel or the Bank the right to resubmit any ACH debit that is returned. Payment transactions will be governed by NACHA rules (you are an “Originator,” Nickel a “Third Party Service Provider,” and the Bank the “ODFI”). You are responsible for all claims, losses, liabilities and expenses resulting from your failure to perform your obligations under NACHA rules and you indemnify Nickel and the Bank for the same.
8. Remote Deposit Capture Services
8.1. General Description
You may make deposits to an account you establish at the Bank from a remote location using a compatible mobile device (camera), computer hardware (scanner), software or web‑based application (individually and collectively, the “Device”). Nickel and Bank are not responsible for providing the Device. You may prepare an accurate electronic picture of the front and back of an Eligible Item (the “Image”) and deliver the Image and associated deposit information to the Bank. The Image must accurately capture the front and back of the check. The Bank and Nickel have no obligation to accept an Image that violates this Agreement and have no liability for rejection.
8.2. Limitations
Use of these services is subject to limits, including daily, weekly and monthly limits on the dollar amounts you may transmit and per‑item limits. Limits may be modified at any time. The services are only available within the United States. Once an Image has been accepted for deposit, Nickel and the Bank are not able to delete or remove it from the collection process.
8.3. Image Requirements
Only submit Eligible Items that meet technical and legal standards (e.g., MICR encoding, legible front and back, complete fields). Nickel and the Bank may process, correct, or charge back items that do not meet requirements.
8.4. Restricted Images; Prohibited Items
Do not remotely deposit any Prohibited Item (e.g., altered checks, non‑U.S. currency, previously deposited items, third‑party checks, government checks, etc.). Submitting Prohibited Items may result in suspension/termination and you agree to indemnify Bank and Nickel for related losses.
8.5. Handling of Original Item and Creating the Image
Only submit Images of original Eligible Items in your possession. Endorse checks “For remote deposit only at Grasshopper Bank” (or as instructed). You are responsible for legibility and accuracy.
8.6. Processing, Transmission of Files and Returns
The Bank and Nickel may process Images under applicable laws and rules (e.g., ACH, Regulation J, Substitute Checks). You are responsible for erroneous data you provide. All settlements are provisional and subject to revocation.
8.7. Transmission of a File
At submission, you represent and warrant, among other things, that each Image is a true and accurate representation, has not been previously deposited, and you will retain originals until final settlement and safeguard them.
8.8. Returned Items
You authorize the Bank and Nickel to represent returned items. If an item is dishonored, the Bank may debit your account(s). Do not redeposit an original if an Image is charged back unless instructed.
8.9. Maintenance, Retention and Destruction of Original Check
Store originals securely for 90 days after posting, then destroy using commercially reasonable methods (e.g., cross‑cut shredding). Provide originals upon request within 48 hours if needed.
8.10. Hardware and Software
You are responsible for acquiring/maintaining Devices and related telecommunications, and for monitoring for defects/viruses. Bank‑provided software, if any, may be subject to separate licensing terms.
8.11. Fund Availability
Items transmitted using remote deposit capture are not subject to Regulation CC funds availability. Availability is determined at the Bank’s discretion and may be delayed.
9. Transaction Classification
9.1. Cash Advances
Nickel will prepare and submit credit card authorizations as purchases rather than cash advances. However, where Nickel believes the Recipient and Payor are the same or affiliated entities, transactions may be treated as a cash advance; such payments are not supported.
9.2. Authorizations
Issuer treatment of authorizations is managed at the issuing bank’s discretion. Nickel and the Bank are not liable for consequences (e.g., cash‑advance fees, rewards impacts) from issuer treatment.
10. Payment Review
10.1. Review
Your payment may be subject to review post‑submission. Nickel or the Bank may place a temporary hold on delivery while inquiries are conducted.
10.2. Cooperation
You acknowledge that timely cooperation is necessary for efficient review and absolve Nickel and the Bank from impacts arising from delayed or insufficient responses.
10.3. Result of Payment Review
Depending on the review, Nickel may clear, reverse, cancel, or hold the payment (including as instructed by a government agency). Funds will be returned via the original method or other means as permitted by law.
11. Returned Transactions
Payments may be returned by Recipients or USPS for reasons including forwarding address expired, invalid banking details, incorrect remittance address, inability to identify an account, or account paid in full. A Recipient may refuse a payment. Nickel will use commercially reasonable efforts to notify you of returned payments and offer you the choice to void and credit or void and re‑issue. Unless otherwise directed, Nickel will void such payments and credit your payment method. Nickel and the Bank are not liable for returned payments.
12. Insufficient Funds
You agree to maintain sufficient funds to satisfy all obligations including returns, reversals, and fees, and to add funds immediately if notified of insufficiency. If a payment is returned for insufficient funds, you must reimburse Nickel (or the Bank) upon demand, plus associated fees and bank charges. Nickel may suspend a Payor’s access to the Services and withhold funds to Recipients if the Payor has an outstanding balance or insufficient funds.
13. Payment Cancellation Requests
Scheduled payments may be cancelled, rescheduled or modified via the Services before processing. Once processing has begun, you must submit a stop‑payment request.
14. Chargebacks
If you initiate a chargeback, clawback, or ACH return outside the Nickel platform for a payment already transmitted to the Recipient, you assign to Nickel any claims against the Recipient associated with such action. Nickel may contact your Recipient directly to request reimbursement. If Nickel receives a chargeback, clawback or ACH return, you as Recipient authorize Nickel to debit your payment method for the amount plus associated fees or withhold from future distributions. Access to the Services may be suspended or limited pending resolution.
15. Stop Payment Requests and Refunds
15.1. Stop Payment Requests
Nickel’s ability to process a stop‑payment request depends on the payment method and whether a check has cleared. Contact support@getnickel.com to stop any processed payment. We will use commercially reasonable efforts but are not liable for failure to stop a payment. Additional charges may apply.
15.2. Payment Refunds
In certain situations following submission, you may request a refund by contacting support@getnickel.com. Availability and processes depend on the disbursement channel. Nickel cannot issue partial refunds and cannot initiate refunds where a Recipient has already received your payment. If Nickel issues a refund, we generally refund a proportional amount of the Nickel Fee to you (less unrecoverable costs), except no Fee refund is provided when a credit/debit card funds your payment or where you effect a refund via clawback/chargeback. Refunds will be issued to your original method, most recent method on record, or via other means if necessary.
15.3. Refunds for Electronic Payments
Nickel may refund electronic payments prior to their disbursement.
15.4. Refunds for Check Payments
Nickel may refund check payments prior to deposit by placing a stop payment on the check. You are responsible for notifying your Recipient not to deposit a stopped check and for any fees your Recipient’s bank may assess. If you stop/void/cancel a check after processing, Nickel will not refund any portion of the Nickel Fee.
16. Nickel Fees
16.1. Service Fees
Nickel may charge Fees for access to and use of the Services. Fees may be charged in a separate transaction from principal payments or combined, depending on applicable rules. Recipient Fees may be deducted from payments upon Recipient approval. Fees for immediate payments are charged upon submission; Scheduled‑payment Fees are locked at submission and charged on the Process Date. Editing a Scheduled payment may recalculate Fees. Accounts may be suspended/limited if amounts are owed to Nickel.
16.2. Fee Updates
Fees vary depending on factors such as the Recipient, payment method, and other variables. Fees are subject to change without prior notice and are calculated in real‑time during payment review prior to submission.
16.3. Subscription Fees
The Subscription Plan may require recurring subscription fees (“Subscription Fees”). You agree to pay the Subscription Fees and authorize Nickel to charge you according to the payment details you provide. Subscription Fees are due even if you do not use the plan during a billing cycle. If collection fails, access to plan features may be denied until payment is received. Applicable taxes may apply. All Subscription Fees are non‑refundable.
16.4. Changes to Subscription Fees
Subscription Fees may change at any time. Changes take effect at the start of your next billing cycle following the price change. If you do not agree, you may cancel prior to the effective date.
17. Applicable Taxes and Penalties
17.1. Taxes
You are responsible for all applicable taxes arising from your use of the Services and for all fees, fines, penalties, and other liability incurred by Nickel, yourself, or a third party caused by or arising out of your breach of this Agreement and/or your use of the Services. You agree to reimburse Nickel or a third party for any such liability.
17.2. Collection of Funds Owed
If you are liable for amounts owed to Nickel or the Bank (including payments forwarded to Recipients for which you initiate a chargeback or ACH return), you authorize Nickel (on its own behalf and/or on behalf of the Bank) to collect such amounts from your default or other available payment methods. If insufficient funds are available, Nickel may engage in collection efforts and/or legal actions to recover such amounts.
18. Acceptable Use
Eligibility to use the Services, as well as approval of usage, limits, and availability, may depend on factors such as your line of business, country or state of residency or incorporation, applicable anti‑money‑laundering regulations, and Nickel’s policies or procedures. These factors may change over time and are determined at Nickel’s sole discretion.
18.1. Restricted Activities
You agree not to use the Services for the following purposes:
Unsupported transfers (sending money):
- Not in direct exchange for a rendered good or service.
- For alimony or to escrow accounts.
- As a donation to an organization not classified as a registered charity.
- For payroll and/or salary payments.
- For anything other than legitimate payment purposes (e.g., to test or probe card behaviors).
Unsupported goods and services, including:
- Third Party Payment Processors
- Money Service Businesses
- Pawn Brokers
- Firearms/Weapons
- Non Bank Financial Institutions
- Non-Profit Organizations
- Foreign Entities
